1.2. What these Terms govern
These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your", the "User") and Unyo. They govern your access to and use of the Unyo web application (unyo.app), the marketing website (unyo.ai), and any related services, features, content, or applications offered by Unyo (collectively, the "Service").
These Terms must be read together with our Privacy Policy(https://unyo.ai/policies/privacy), which is incorporated by reference and forms an integral part of this agreement.
1.3. Acceptance
By creating an account on Unyo, accessing the Service, or clicking "I agree" on any sign-up or consent prompt, you represent that:
You have read, understood, and agree to be bound by these Terms and the Privacy Policy.
You are at least 18 years old and have the legal capacity to enter into a binding contract (see Section 2).
If you are using Unyo on behalf of a business or organization, you warrant that you have the authority to bind that entity.
If you do not agree to any part of these Terms, you must not use the Service.

2. Eligibility
2.1. Minimum age
You must be at least 18 years old to create an account or use the Service. Unyo is not offered to minors under any circumstance.
2.2. Legal capacity
You must have full legal capacity to enter into a binding contract under the laws of your jurisdiction of residence. If you lack such capacity (e.g. due to legal incapacity or guardianship), you must not use the Service.
2.3. Business use
If you use Unyo for or on behalf of a business, organization, or other entity, you represent that (i) you have the authority to bind that entity to these Terms, (ii) the entity accepts these Terms, and (iii) references to "you" in these Terms include that entity.
2.4. Prohibited users
You may not use the Service if:
You are subject to EU, US, UN, or other applicable sanctions lists.
You are located in, organized under the laws of, or a resident of a country subject to comprehensive sanctions.
You are a direct competitor accessing the Service for the purpose of reverse engineering, benchmarking, or copying features, without prior written authorization from Unyo.
You have previously been suspended or terminated by Unyo for a breach of these Terms.
3. Accounts
3.1. Account creation
To use Unyo, you must create an account by providing a valid email address and choosing a password. You are responsible for providing accurate and current information at sign-up.
3.2. One account per user
Each natural person may hold one personal account. Creating multiple accounts to circumvent quotas, suspensions, or fees is prohibited.
3.3. Account security
You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Use a strong, unique password. If you suspect unauthorized access or a security incident, you must notify us without undue delay at support@unyo.ai.
3.4. Accurate information
You agree to keep your account information up to date. Unyo is not responsible for notifications or transactions that fail because your contact details are outdated.
3.5. Suspension and termination by Unyo
Unyo may suspend or terminate your account in accordance with Section 12 if you breach these Terms or if we are required to do so to comply with a legal obligation, protect other users, or preserve the integrity of the Service.
4. Your Content and License
4.1. You own your content
As between you and Unyo, you retain all rights, title, and interest in and to the content you create, upload, submit, or transmit through the Service, including but not limited to:
Chat messages with our AI agents
Neural Core entries (contacts, products, offers, notes, files, URLs)
Uploaded files (images, PDFs, documents)
Branding assets (logos, colors, tagline, signature)
Configuration, automation rules, templates
4.2. Limited license to Unyo
You grant Unyo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, and transmit your content solely to the extent necessary to operate, maintain, secure, and improve the Service and to provide it to you, including:
Storing your content in our infrastructure (Supabase, Vercel)
Transmitting slices of your content to AI providers (OpenAI, Anthropic, Google Gemini) to generate responses on your behalf
Executing integrations on your behalf (sending emails, posting to social networks, creating records in connected apps)
Generating derived content (summaries, classifications, embeddings)
4.3. License scope and termination
This license is strictly limited to the operation of the Service. It does notgrant Unyo any right to sell, market, or make your content available to third parties for their own purposes. The license terminates automatically when you delete the content or your account, except where retention is required by law or to complete ongoing processing already initiated at your request.
4.4. No ownership claim by Unyo
Unyo does not claim ownership of your content. Unyo does not acquire any rights beyond those explicitly granted in Section 4.2.
4.5. Third-party content and rights
You are solely responsible for ensuring that the content you upload or provide:
Does not infringe any third party's intellectual property, privacy, or publicity rights.
Does not contain personal data about third parties without the legal basis required under the GDPR or equivalent law (for example, when you import a contact list).
Complies with the terms of service of any third-party platform to which you send that content via Unyo's integrations.
You represent and warrant that you have all rights and permissions necessary to grant the license in Section 4.2 for every piece of content you upload.
4.6. Feedback
If you send us feedback, suggestions, ideas, bug reports, or feature requests (collectively, "Feedback"), you grant Unyo a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use the Feedback for any purpose, including improving the Service. Feedback is non-confidential, and Unyo has no obligation to compensate you or attribute the Feedback to you.
5. Acceptable Use and Prohibited Conduct
5.1. General rule
You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Service.
5.2. Prohibited uses
You must not use the Service, directly or indirectly, to:
Violate any applicable law or regulation (local, national, or international).
Send spam or unsolicited bulk email, violate anti-spam laws (CAN-SPAM in the US, CASL in Canada, the EU ePrivacy Directive, or equivalent), or send marketing emails to recipients who have not given valid consent.
Harass, threaten, impersonate, defame, or intimidate any person.
Transmit or generate content that is illegal, obscene, defamatory, discriminatory, or infringing.
Transmit, generate, or distribute child sexual abuse material (CSAM), content promoting terrorism, violence, or self-harm, or any content violating applicable content laws.
Infringe any third party's intellectual property, trade secret, or privacy rights.
Engage in fraud, phishing, deception, or impersonation of any person or entity.
Transmit malware, viruses, worms, or any malicious code.
Attempt to gain unauthorized access to the Service, its systems, or other users' accounts.
Attempt to disable, bypass, or interfere with any security or authentication mechanism of the Service.
Scrape, crawl, data-mine, or use automated tools to access the Service in a manner that exceeds the rates permitted by Unyo.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent this prohibition is prohibited by applicable law.
Use the Service to build a competing product or benchmark its features for public comparison without prior written authorization from Unyo.
Send commercial emails through the Gmail or Outlook integrations in a manner that violates the terms of those providers or the anti-spam laws of the recipient's jurisdiction (compliance is your responsibility).
5.3. Consequence of breach
Breach of this Section 5 may result in immediate suspension or termination of your account without refund, and may also result in notification to relevant authorities where required by law. Unyo reserves the right to investigate suspected breaches and to cooperate with law enforcement.
6. Third-Party Integrations Disclaimer
6.1. Supported integrations
Unyo integrates with third-party services, including (non-exhaustive list): Google (Gmail, Calendar, Drive), Microsoft (Outlook), Meta (Facebook, Instagram), LinkedIn, X (Twitter), Slack, Trello (Atlassian), Notion, and Shopify. Integrations require your explicit authorization via OAuth 2.0 or an equivalent mechanism.
6.2. Provider terms
When you connect a third-party provider, you remain subject to that provider's terms of service and privacy policy. Unyo is not a party to your agreement with the provider. You must comply with each provider's terms, including (without limitation):

6.3. No liability for third parties
Unyo is not responsible or liable for:
Provider outages, downtime, API deprecations, rate limits, or breaking changes.
Data loss or corruption caused by the provider.
Suspension or termination of your account by the provider.
Fees, usage limits, or commercial conditions imposed by the provider.
Changes to the provider's terms or policies that affect your use of Unyo's integration.
6.4. Disconnection
You may disconnect any integration at any time from Settings → Integrations in the app. Disconnection revokes Unyo's access to the corresponding provider and purges the associated tokens from our systems.
7. AI Disclaimer
7.1. Nature of AI outputs
Unyo's Service relies on artificial intelligence ("AI") models provided by third parties (OpenAI, Anthropic, Google Gemini). AI outputs — including generated text, summaries, classifications, suggestions, drafts, and any other model-produced content — may be inaccurate, incomplete, outdated, biased, misleading, or entirely fabricated ("hallucinations"). This is an inherent property of current AI technology and is not a defect of the Service.
7.2. No warranty of accuracy or fitness for purpose
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNYO DISCLAIMS ALL WARRANTIES WITH RESPECT TO AI OUTPUTS, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF ACCURACY, RELIABILITY, COMPLETENESS, CURRENCY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Unyo does not warrant that AI outputs are free from errors, will meet your requirements, or will be suitable for any specific use.
7.3. User verification required
You are solely and fully responsible for reviewing, verifying, and evaluating the accuracy, appropriateness, and legality of every AI output before relying on it or acting on it. Before using an AI output for any business, legal, financial, medical, professional, operational, or communication decision, you must independently verify the output against authoritative sources and your own judgment.
7.4. Not intended for certain uses
Unyo's Service is not designed, tested, or licensed for, and must not be used as the basis for:
Medical advice, diagnosis, treatment, or any health-related decision
Legal advice, legal representation, or any professional legal work
Financial advice, investment decisions, trading, tax advice, or any professional financial work
Safety-critical or life-critical systems (including but not limited to transportation, medical devices, industrial control, nuclear, aviation, or defense)
Real-time emergency, crisis, or first-responder applications
High-stakes decisions regarding employment, credit, housing, insurance, education admission, or any legally regulated determination
Any use case prohibited by applicable law (including use cases banned under the EU AI Act)
If you use Unyo for any such purpose, you do so at your own risk, and Unyo bears no responsibility for the consequences.
7.5. AI provider disclosure
Your inputs, or relevant slices thereof, may be transmitted to the following AI providers to generate responses:
OpenAI (gpt-4.1) — under the OpenAI API Data Processing Addendum, no training on data
Anthropic (claude-haiku-4-5) — under Anthropic Commercial Terms, no training on data by default
Google Cloud (Vertex AI) (gemini-2.5-flash paid tier) — under the Google Cloud Data Processing Addendum, no training on data, no retention

7.6. No liability for AI provider actions
Unyo is not responsible or liable for outages, service-level issues, content policy violations on the provider's side, model changes, deprecations, or any consequence of an AI provider's own decisions. Unyo acts as a transmitter of your request to the provider and a recipient of the provider's response.
8. Agent Actions
8.1. Delegated actions
Unyo's AI agents (Maya, Ashley, Tyron, Alex, Riley, Sam, Lucy, Blake, Ema) are designed to execute actions on your behalf when you instruct them to do so or when you confirm a suggested action. These actions may include:
Sending emails via Gmail or Outlook
Replying to emails
Scheduling or creating calendar events
Posting to Facebook, Instagram, LinkedIn, X
Posting or scheduling content via Slack
Creating Trello cards or Notion pages
Creating Shopify products, orders updates
Generating and storing content in your Neural Core
8.2. You are the actor
When an agent executes an action under your account, the action is considered yours for all legal and practical purposes. The agent acts as your delegate, not as an autonomous legal entity. You are responsible for:
The content of the action (emails, posts, records, messages).
The appropriateness of sending the action to its recipient(s).
Compliance with all applicable laws (including anti-spam, GDPR, defamation, advertising regulations).
Compliance with the terms of service of the destination provider (Google, Meta, Shopify, etc.).
Any resulting reputational, commercial, or legal consequences.
8.3. Review mechanisms
Unyo provides review mechanisms before most outgoing actions — for example, Maya presents a draft email that you must confirm before sending, and Ashley presents a draft post that you must approve before publishing. Best practice: always review agent-generated content before confirming.Confirming an action is your acknowledgment that you have reviewed it and accept its content as your own.
8.4. No liability for delegated actions
Unyo is not liable for damages, losses, or claims arising from actions executed by an agent at your request or with your confirmation, including but not limited to reputational damage, financial loss, regulatory penalties, disputes with recipients, or claims from third parties. If an agent action produces an unintended or harmful outcome, the responsibility rests with you as the principal.
9. Intellectual Property
9.1. Unyo property
The Service, including its software, interfaces, agents, AI prompt architecture, designs, trademarks, branding, logos, content generated by Unyo itself (as opposed to your content), and all associated intellectual property rights, are owned by Unyo SASU or its licensors.
9.2. Limited license to you
Subject to these Terms, Unyo grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, strictly during the term of your account.
9.3. Restrictions
You may not:
Copy, modify, distribute, sell, sublicense, or rent any part of the Service.
Reverse engineer, decompile, or disassemble the Service, except to the extent such restriction is prohibited by applicable law.
Remove or alter any proprietary notices, trademarks, or labels.
Use any Unyo trademark, trade name, or branding without prior written authorization.
9.4. Trademarks
"Unyo", the Unyo logo, and any related names, marks, and slogans are trademarks of Unyo SASU.
10. Fees and Billing
10.1. Current offering
At the time of publication of these Terms, Unyo is offered as a free tier / beta. No payment is required to create an account or use the Service.
10.2. Future paid plans
We plan to introduce paid plans. When paid plans launch:
The subscription terms (price, billing period, included quotas, renewal) will be described in a separate Billing Schedule published at
https://unyo.ai/policies/billingor presented at the point of purchase.Payment will be processed through Stripe (Stripe Inc., PCI DSS compliant). Unyo does not store your payment card details.
Your acceptance of the Billing Schedule at checkout will incorporate it into these Terms.
10.3. No surprise charges
Unyo will not charge you unless you explicitly activate a paid plan. Moving from the free tier to a paid plan always requires your affirmative action.
10.4. Taxes
Prices will be displayed exclusive or inclusive of VAT (TVA) as indicated at checkout. As Unyo currently operates under the French VAT exemption regime ("franchise en base de TVA", Article 293 B of the French Code général des impôts), invoices are issued without VAT, with the mention "TVA non applicable, art. 293 B du CGI" appearing on every invoice. Should Unyo exceed the VAT exemption thresholds in the future, prices will be adjusted accordingly with at least 30 days' prior notice. For B2B users subject to VAT self-assessment under the reverse charge mechanism, you remain responsible for declaring VAT in your jurisdiction.
10.5. Changes to fees
Unyo may change subscription prices or introduce new fees. Changes to existing paid subscriptions will be notified at least 30 days before the new pricing takes effect. You may cancel before the effective date to avoid being charged at the new rate.
11. Refund Policy
11.1. Free tier
The current free tier involves no payment and therefore no refund.
11.2. Right of withdrawal (future paid plans)
Once paid plans launch, consumer users residing in the EU will benefit from the 14-day right of withdrawal under Article L.221-18 of the French Code de la consommation, unless you explicitly waive it to obtain immediate access to the paid features (as permitted under Article L.221-28 of the Code). The specific refund rules will be described in the Billing Schedule.
11.3. Refund processing
When applicable, refunds will be processed via Stripe to the original payment method within 14 days of an approved request.
11.4. Business users
Business (B2B) users are not covered by the consumer right of withdrawal. Refund rules for business subscriptions will be specified in the Billing Schedule at launch.
12. Termination
12.1. Termination by you
You may terminate your account and this agreement at any time by:
Using the in-app flow: Settings → Account → Delete my account, which triggers the deletion procedure described in the Privacy Policy (Section 7.1), or
Emailing privacy@unyo.ai with a deletion request.
12.2. Termination by Unyo
Unyo may suspend or terminate your account:
With reasonable prior notice (e.g. 14 days) if you are in material breach of these Terms and have not cured the breach.
Immediately, without notice in case of (i) severe breach of Section 5 (Acceptable Use), (ii) activity that threatens Unyo's systems or other users, (iii) a legal or regulatory obligation to do so, or (iv) prolonged inactivity after advance notice.
12.3. Effect of termination
Upon termination:
Your access to the Service is revoked.
Your account data is deleted in accordance with the retention schedule in the Privacy Policy (Section 7).
No refund will be issued for any unused paid period (once paid plans are active), unless otherwise required by applicable law.
OAuth tokens stored on your behalf are revoked and purged, subject to the provider-specific limitations described in the Privacy Policy.
12.4. Survival
Sections of these Terms that by their nature should survive termination will survive, including Sections 4 (license to Feedback only), 7 (AI Disclaimer), 8 (Agent Actions), 9 (IP), 13 (Limitation of Liability), 14 (Indemnification), 15 (Governing Law and Dispute Resolution), and 17 (Miscellaneous).
13. Limitation of Liability
13.1. Cap on aggregate liability
To the maximum extent permitted by applicable law, Unyo's total aggregate liability to you under or in connection with these Terms shall not exceed the amount actually paid by you to Unyo during the twelve (12) months immediately preceding the event giving rise to the claim.For users on the free tier, this amount is zero euros (€0), and Unyo's aggregate liability is accordingly limited to zero euros, subject to mandatory consumer protections that cannot be waived.
13.2. Excluded damages
To the maximum extent permitted by law, Unyo shall not be liable for any:
Indirect, incidental, special, consequential, exemplary, or punitive damages.
Loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.
Damages resulting from AI outputs (see Section 7), including hallucinations, inaccuracies, or omissions.
Damages arising from third-party integrations or the acts or omissions of third-party providers (see Section 6).
Damages arising from actions executed by agents at your request or with your confirmation (see Section 8).
Damages resulting from unauthorized access to your account due to your own negligence (weak passwords, sharing credentials, failure to use MFA where offered).
Damages resulting from force majeure events (see Section 17.5).
13.3. Jurisdictional limitations
Some jurisdictions do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages. In those jurisdictions, Unyo's liability is limited to the minimum extent permitted by applicable law, and nothing in these Terms is intended to waive any mandatory consumer protection that cannot legally be waived.
13.4. Essential purpose
The limitations in this Section 13 apply even if any remedy fails of its essential purpose, and are a fundamental element of the bargain between you and Unyo.
14. Indemnification
You agree to defend, indemnify, and hold harmless Unyo SASU and its subprocessors and licensors, from and against any claim, demand, action, proceeding, liability, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to:
Your content, including any third-party rights (copyright, trademark, privacy, publicity, or other) that your content may infringe.
Your misuse of the Service or breach of these Terms, the Privacy Policy, or any applicable law.
Actions executed by agents under your account (see Section 8).
Your violation of any third-party integration's terms of service (see Section 6).
Your violation of any applicable law, including anti-spam laws, the GDPR, consumer protection laws, or advertising regulations, in connection with your use of the Service.
Your dispute with any third party arising from your use of the Service.
Unyo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Unyo's defense.
15. Governing Law and Dispute Resolution
15.1. Governing law
These Terms are governed by and construed in accordance with the laws of France, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.2. Competent courts
Subject to any mandatory provisions of consumer protection law:
Consumer users: disputes shall be brought before the Tribunal Judiciaire de Paris (the territorially competent court of Unyo's place of business), or, at your option, before the courts of your place of residence if you reside in the EU.
Business (B2B) users: any dispute shall be brought exclusively before the Tribunal de Commerce de Paris, by virtue of the parties' express choice of jurisdiction under Article 48 of the French Code of Civil Procedure.
15.3. Alternative dispute resolution (consumers)
If you are a consumer and you have a dispute with Unyo, you may, free of charge, refer the matter to the French Médiateur de la consommation(Consumer Mediator) before seeking judicial recourse. Contact details of the competent Mediator will be provided on request to legal@unyo.ai.
15.4. EU Online Dispute Resolution
If you are a consumer residing in the EU, you may also use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/to submit a dispute arising from the online sale of services.
15.5. Mandatory consumer law
Nothing in this Section 15 limits your rights under the mandatory consumer protection law of your country of residence (within the EU or elsewhere), where such law cannot be derogated from by contract. In case of conflict, the mandatory consumer law prevails over the choice of law above.
15.6. Informal resolution first
Before initiating formal proceedings, we encourage you to contact legal@unyo.ai so we can try to resolve the dispute amicably and in good faith. This step is optional and does not waive your right to bring a claim.
16. Changes to These Terms
16.1. Right to update
Unyo may update these Terms from time to time to reflect changes in the Service, applicable law, or business practices.
16.2. Material changes
For changes that materially affect your rights or obligations (for example, a new category of fees on an existing plan, a significant change in the scope of the license in Section 4, or a change in the limitation of liability), we will notify you by email sent to the address on your account, at least 30 days before the changes take effect.
16.3. Non-material changes
For clarifications, typographical corrections, or minor wording improvements that do not materially affect your rights, we will update the "Last updated" date at the top of this document without individual notice.
16.4. Acceptance or rejection
Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may delete your account as provided in Section 12.
17. Miscellaneous
17.1. Entire agreement
These Terms, together with the Privacy Policy and any applicable Billing Schedule or supplemental agreement expressly incorporated by reference, constitute the entire agreement between you and Unyo regarding the Service and supersede all prior or contemporaneous agreements, proposals, or communications on the same subject.
17.2. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
17.3. No waiver
No failure or delay by Unyo in exercising any right, power, or remedy under these Terms shall constitute a waiver of that right, power, or remedy, nor shall any single or partial exercise preclude any other exercise of that right, power, or remedy.
17.4. Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without Unyo's prior written consent. Unyo may assign these Terms, in whole or in part, without your consent, in connection with a merger, acquisition, reorganization, sale of all or substantially all of its assets, or similar transaction, provided that the assignee agrees to be bound by these Terms.
17.5. Force majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, cyberattacks not attributable to the affected party's negligence, failures of public utilities or the Internet, or governmental actions or sanctions.

Unyo will send notices to you by email to the address associated with your account and may also display notices within the Service. You will send notices to Unyo by email:

17.7. Language
These Terms are written in English and will be interpreted in English. If a translation is provided for convenience, the English version shall prevail in case of any conflict or discrepancy.
17.8. Relationship of the parties
Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Unyo. Neither party has authority to bind the other.

Headings in these Terms are for convenience only and have no legal or contractual effect.
17.10. Survival
The provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 4 (Feedback license), 7, 8, 9, 13, 14, 15, and 17.
